I am happy to announce that Vention Medical’s Advanced Technologies Division has entered into a definitive agreement to be acquired by Nordson Corporation. In addition to the divisional management team, the Advanced Technologies division is comprised of Vention’s New Hampshire, Tennessee, Ireland, Minneapolis, Massachusetts, California, Colorado, and Israel locations.
In a parallel acquisition, Vention’s Device Manufacturing Services Division has entered into a definitive agreement to be acquired by MedPlast Corporation. In addition to the divisional management team, the Device Manufacturing Services division is comprised of the New Jersey, Michigan, Puerto Rico and Costa Rica locations.
I would like to take this opportunity to explain what this means for you as our customer.
For Nordson, Vention’s Advanced Technologies business is an ideal complement to their
current offering of single-use fluid management components, biomaterial delivery devices, and
high end cannula and tubing. The addition of Vention Advanced Technologies’ unique and
custom specialty components, including heat shrink tubing, extrusions, medical balloons,
specialty tubing, nitinol forming, extensive design and development capabilities, and a fast
growing on-line store presence, adds scale to what is one of Nordson’s fastest growing
businesses. Like Vention, Nordson places tremendous value on a high level of engineering
engagement with customers and a focus on specialty manufacturing technologies.
For MedPlast, Vention’s Device Manufacturing Services division is a complementary business,
thus creating a stronger platform to provide additional solutions for your needs. In addition to
expanded molding and extrusion capabilities, MedPlast will bring new material expertise such
as silicone and new geographic locations to better align with your footprint. They also have a
presence in additional end markets (i.e. orthopedics, diagnostics). Vention’s Device
Manufacturing Service’s expansive finished device assembly, packaging and sterilization
capabilities, when combined with MedPlast, will allow us to bring more value added, cost
effective solutions to you, our customer.
We selected these two acquirers because they understand our businesses and strategies and
because they bring additional capabilities to drive value for our customer base. Both are
committed to maintaining continuity for our customers. Your current points of contact will not
change; our locations will not change; and we will continue to work together as partners on
existing and/or new projects.
Additionally, both companies are very committed to continued investment in our businesses and
technologies. As we already share a number of customers, Nordson and MedPlast understand
the requirements to be a leading global partner for medical device customers. In all cases we
will have more technology, services, and geographic solutions to offer our customers.
We expect the transactions to be completed within the next 60 days. We are excited about this
